The Small Print

We have tried to keep our small print to a minimum, however there are some important things we need you to agree to when you join our Club. These conditions may change from time to time, but we promise to keep you informed.

who we are

Celeste is a ‘hosted home’, bringing people together that have plenty to say and nothing to prove. A new school club with old school values of personalised service and discretion.

The Club is a proprietary Club. The proprietor is BB NH Limited (the Company). The Company is a private company limited by shares incorporated in England with Company number 15580438. registered at Third Floor, 20 Old Bailey, London, United Kingdom, EC4M 7AN. The Club is to be found at 45 Ledbury Rd, London W11 2AA.

A Member’s membership does not entitle a member to any shares in the Company nor to participate in any voting or other shareholder matters of the Company. Within this document, ‘you’, ‘your’ and the ‘Member’ refers to any person holding a paid-up Celeste membership.

The Club has a general committee (the General Committee) which is responsible for interpretation, exercise and enforcement of these Conditions, and any other management powers it may assume.

our membership types

CELESTE (granting access to Celeste only)

Celeste Full Membership
£2,600 (inc vat) each year
Joining Fee: £500 (inc VAT)

Celeste Under 30 Membership
£1,750 (inc vat) each year
Joining Fee: £250 (inc VAT)

Upon attaining the age of 30, Under 30 members will transfer to a Full Membership and its current applicable rate at their next renewal date. The Club will notify these members of the change in rate 14 days prior to their renewal date.

let’s talk about payment

We require payment information (credit card or bank account direct debit details) to be submitted upon application for membership. If a membership application is approved, the appropriate payment will be taken and we will confirm by email once payment has been processed and the membership active. Membership will commence on the day you are informed that your application has been successful. We do not delay membership start date and membership will commence from the day you are informed your application has been successful.

If a membership application is approved, we will immediately take payment of the joining fee and annual subscription fee respective to the membership type. This joining fee is non-refundable after the 14 day grace period. Note that no reason will be given to any candidate if their application is not successful.

The joining fee amount shall be fixed from time to time by the Company; and any amount so fixed shall continue in force until the Company decides on a variation.

As a Member, you may (at your option) pay the current annual subscription:

a) in a single lump sum equal to the current annual subscription; or
b) in monthly instalments (subject to an uplift fee)

We may increase the annual membership fee each year.  We will notify you at least 14 days before your membership year expires of the new annual membership fee for the next year.

By providing us with payment details, you as a Member accept and consent to being charged membership fees in the form requested by the Club upon your application being approved or renewed.

Failure to pay (i) the annual subscription or (ii) any monthly instalment within 7 days of the due date will result in your membership being cancelled with no access to the Club during this time.

Within 14 days of the termination being cancelled for late payment the member may submit a request in writing to the Club for the restatement of their membership. Upon receipt of such a request, the Club may elect to reinstate membership in its absolute discretion.

If you have a Monthly Membership subscription and you fail to make 2 monthly instalments within 7 days of the due date within any 12 month period, you will no longer be eligible to pay by monthly instalments and if you wish to re-join as a member of the Club you will need to pay the full annual subscription for Annual Membership at the time of re-joining (including the payment of all previously unpaid monthly instalments).

Celeste may pursue any rights it may have to recover any unpaid amounts. The Club reserves the right to refer any missed payments to a debt collection agency and will charge you a fee, in respect of failed subscription payments and/or collection letters sent to you in respect of unpaid amounts.

Memberships will renew automatically on the renewal date. Upon renewal, all membership fees will be moved to Direct Debit. Should you fail to provide Direct Debit details ahead of renewal, your membership will be charged to the card on file, if this is unsuccessful your membership will be inactive until resolved. If you wish to not renew your annual membership, you must notify us at least 30 days prior to your renewal date at membership@celestenottinghill.com.

members’ events

Please note that by booking a Members’ event via any of our communications channels (email, phone or otherwise) you agree to the below conditions:

  • For events in the Club, we require a full deposit on booking, which will be charged to your card on file.
  • Please note, we have a 48 hour cancellation policy for our events with the exception of our wine dinners, which have a four day cancellation policy, our WSET courses which have a two week cancellation policy and all wine trips, which have a two month cancellation policy. If cancelled within these timeframes your deposit is fully refundable.
  • Please be aware that we do require Members to have a card on file in order to book an event. To add your card details, simply contact our membership team.

if you decide to part ways with us

In your first year of membership, you can cancel your membership within 14 days (the grace period) from the first payment date. We will issue a full refund (including the joining fees) via the payment information provided upon application. If you wish to cancel your membership after the first 14 days have elapsed, we will issue a refund for any unutilised months of your annual membership, less six months membership fees. If you pay monthly, you are required to have paid your first 6 months of membership. In such circumstances, no refund will be issued for the joining fee.

If you wish to cancel your membership within the final six months of a year, no refund will be made. This is applicable to both annual and monthly payers.

Should you wish to cancel your membership at any time, you must inform the membership team in writing via email at membership@celestenottinghill.com.

From your second year of renewal if you wish to cancel your membership, you have a 14 day grace period to do so. You will receive a refund of your annual subscription.

If you wish to cancel any additional membership dues, such as a membership upgrade, you have a 14 day grace period to do so. You will receive a full refund on the upgrade within the 14 day period. After this time, no refund will be issued.

If you decide to cancel your membership and re-apply within a year, no joining fee will be applicable. After this time you will be required to pay the joining fee. You will need to go through the standard application process and there is no guarantee of re-approval. Any then prevailing annual membership fee rates will apply.

settling your bills

We understand that from time to time you may not want to settle a bill on the night. By agreeing to these terms, you understand that if you elect for any bill to be charged to your account, we will collect the balance of the transaction via the payment method provided upon your application. Should payment from your primary card on file fail, we will automatically look to charge from other payment method(s) that we hold on file for you, including via Direct Debit.

If you have any amount outstanding on your account and which we have been unable to collect from your primary card, we may suspend you from the Club until we are paid in full.

your guests

We welcome Members with up to three guests any time, no questions asked. If you would like to bring a larger group, please make your request in advance and we’ll come back asap, based on availability. As this will involve extending the guest allowance, we do require the names of your guests ahead of time.

Members must take responsibility for their guests at all times. Failure by your guest to comply with our Club rules will be deemed as a breach of the rules by you, whether you are present or not.

We will charge any unsettled guest bill to your stored payment card. Please note that if you are joined by people at your table and they order food and/or drinks, any outstanding charges will be assigned to the Member who made the booking.
We may refuse admission to your guests and/or require your guests to leave the Club, without reason.

To the maximum extent allowed by law, we are not responsible for losses incurred by you, your guests or any dogs. If a dispute arises between you and any other Members, or between Members and guests, we may not be able to intervene, but of course we will do all we can to help resolve things.

help us to be a good neighbour

The Club is right in the heart of Notting Hill, on a residential street, and we care deeply about our local community. We kindly ask you to respect our neighbours and be mindful about your noise levels when leaving the Club – day or night.

substances and smoking

We have zero tolerance for any drugs and illegal substances being used or brought onto our premises. We do not permit smoking or vaping anywhere inside our building. We ask that smokers keep to our designated smoking areas: on the rooftop and downstairs in the basement.

please take responsibility

We ask that you look after your belongings, as we are not responsible for any items lost or left onsite. We have a cloakroom for you to use whilst you are at the Club, but all belongings must be collected upon your departure.

complaints and concerns

You are responsible for the actions or any damage caused by you, your guests and any dogs that you have brought to the Club and agree to indemnify us for any loss or damage caused. To the extent allowed by law, you and your guests waive any claims against us, our affiliates, parents and successors, and each of our and their employees, assignees, officers, agents and directors (“Celeste Parties”), resulting from injury or damage to, destruction, theft, or loss of, any property, person or dog.

You must obtain our written consent before entering into any settlement involving or relating to any Celeste Party. We may look into any possible violations of these rules – and you need to cooperate fully when we do, waiving any rights against any Celeste Party and holding them and us harmless.

You confirm that no Celeste Party shall be in any way liable for any losses, costs, expenses or damage whatsoever (including in relation to personal injury, property damage or loss) that may be incurred or suffered by you, your children, your guests or any dogs invited by you.

We encourage any comments, concerns or complaints to be communicated to our General Manager or our Membership Team at membership@celestenottinghill.com.

suspension, restriction and termination

You must conduct yourself appropriately toward the Club staff, Members and all guests, at all times. Any abuse will not be tolerated and may result in your immediate suspension from the Club.

We can suspend or terminate your membership at any time if:

  • you have not complied with these conditions, as determined by the General Committee at the time;
  • you have been convicted of an indictable offence;
  • you have been involved in any act or matter which, in the opinion of the General Committee, could damage or materially harm the reputation of the Club or other members, including actions that shock or offend the community, contravene public morality or decency, and/or violate applicable laws in any jurisdiction; or
  • you otherwise disturb the quiet enjoyment of Members or guests, the Club generally, and whether we receive complaints or not.

If we suspend you, we may (but are not required to) notify you in writing within 5 days of our reasons for any suspension, and give you 5 days to send us a written statement about your suspension. The General Committee will determine whether to withdraw the suspension, extend the suspension, or terminate your membership of the Club. Its decision is final.

When a membership is terminated, no portion of the joining fee, annual subscription or membership upgrades will be refunded.

If your membership is suspended, restricted or terminated, our security and reception team will be instructed not to allow you access to the Club, or any events held in the Club spaces, even as the guest of another Member.

We may (in our absolute discretion) restrict access to the Club either in its entirety or certain areas including, but not limited to, the following situations: (i) the maintenance, decoration or repair of the relevant area; (ii) private events; (iii) any force majeure event.

liability

References to liability in this paragraph 14 include every kind of liability including liability in contract, tort (including negligence), misrepresentation, restitution or otherwise.

Nothing in these conditions limit any liability for death or person injury caused by negligence, fraud or fraudulent misrepresentation or any liability that legally cannot be limited.

Subject to the above paragraph, our total liability to you shall not exceed £10,000.

Subject to above, the following types of loss are wholly excluded:

  • loss of profit;
  • loss of sales or business;
  • loss of agreements or contracts;
  • loss of reputation; and
  • indirect or consequential loss.

This paragraph shall survive termination.

photography & filming

We do not permit photography and/or filming of any kind anywhere within our premises. Uploading images of the Club or our Members and guests to social media is strictly prohibited. You shall not comment to any Member of the press on the Club, our Members and guests or their activities in the Club.

privacy & your personal details

You and your guests may also be asked to present identification upon entering the Club. Spaces may be recorded for security purposes and we may release the footage and disclose information about our Members if called upon by the law.

We will keep a list of the names and addresses of Members of the Club on the premises at all times, together with a record of guest’s names and dates of their attendance, together with a record of each guest’s name, date(s) of attendance and the Member who invited them. Both the list and the book shall be produced on demand for inspection by the police or an authorised officer of Kensington & Chelsea Council.

There is no expectation of privacy when it comes to your use of our internet, networks, telecoms or information processing systems. Your usage may be monitored. changes to our small print

These conditions may change as we continue to evolve our business. If we change these conditions, we will post the revised document on our website, and such changes will be effective immediately upon that posting. Your continued use of the Club and its services constitutes your acceptance of such changes and agreement to be bound by the modified conditions. As a result, we recommend that you review these conditions periodically.

general

Entire agreement. These conditions constitute the complete agreement between us regarding the matters addressed herein and supersede any prior written or oral agreements between the parties. You acknowledge that you have not relied on any representations, warranties, or assurances other than those expressly set out in these conditions. You expressly waive all rights and remedies that might otherwise be available concerning any such representation, warranty, collateral contract, or assurance, provided that nothing in this paragraph limits or excludes liability for fraud or fraudulent misrepresentation.

Governing Law. These conditions and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them are their subject matter shall be governed by and construed in accordance with the law of England and Wales.

Jurisdiction. Each of us irrevocably agrees that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with these conditions, their subject matter or formation.
